Safestay has confirmed it is in discussions with Infill Capital Partners (ICP) over a potential takeover that could value the hostel operator at approximately £40.9m.
The announcement follows the publication of information on ICP’s website referring to a potential take-private transaction. Safestay said the discussions are being conducted with ICP through Lume HoldCo S.à r.l. and relate to a possible offer for the company’s entire issued and to be issued share capital.
As part of the process, Safestay has provided the prospective buyer with access to limited due diligence materials while discussions continue. The company said any potential offer could comprise a cash proposal, an unlisted share alternative or a combination of the two.
Safestay stressed that no firm offer has been made and there is no certainty that an offer will ultimately be forthcoming, nor on what terms. The company has advised shareholders to take no action at this stage.
Under the UK Takeover Code, Infill Capital Partners has until 5.00pm on 7 August 2026 to either announce a firm intention to make an offer for Safestay or confirm that it does not intend to proceed. The deadline may only be extended with the consent of the Takeover Panel.
The announcement also marks the commencement of an official offer period under the Takeover Code, triggering the relevant disclosure requirements for Safestay shareholders.
